Occam Networks Elects Thomas Pardun and Robert Bylin to Board of Directors

Pardun and Bylin Bring Broad Operational and Financial Expertise to Occam Board

SANTA BARBARA, Calif. – October 19, 2004 Occam Networks Inc. (OTCBB: OCCM) , a supplier of innovative Ethernet and IP-based loop carrier equipment to telecommunications companies worldwide, today announced that Tom Pardun and Robert Bylin have been appointed to the company's board of directors.

“Together, these two new additions bring a great wealth of knowledge and experience to Occam's board,” said Bob Howard-Anderson, president and CEO for Occam Networks. “Occam will certainly benefit from Tom Pardun's keen management and telecom market insights and Robert Bylin's strategic financial counsel.”

A prominent leader in the telecommunications and information systems industry, Pardun has more than 30 years of executive experience. Before focusing his efforts on venture capital investments and management consulting, Pardun served as chairman of the board at Western DigitalCorp and as the CEO of edge2net Corporation, MediaOne International, Asia-Pacific and US WEST Multimedia Communications Group. Prior to joining US WEST, Pardun served as president of Sprint's Central Group and West Division. He started his career with and spent 19 years with IBM Corporation.

“As the telecommunications industry continues to evolve, Occam's innovative Broadband Loop Carrier networking equipment plays a pivotal role in taking the industry to a new level,” Pardun said. “This is an exciting time for the industry and I am dedicated to help Occam build on its expanding customer base and increasing market share.”

Bylin's broad financial management background in both public and private companies span nearly 35 years. Prior to serving as the CFO of TakAsic, Bylin held a variety of key administrative roles in both finance and operations, including COO and CFO for D.T. Consulting, Inc. Throughout his career, Bylin has not only been successful in raising strategic funding for companies such as Veridicom, Inc., but he has been influential in taking companies to new heights. In March 1997, as CFO of Storage Dimensions, Inc., Bylin played a crucial role assisting the company in achieving a successful IPO.

“I look forward to chairing the audit committee on Occam's board,” Bylin said.  “As a public company it is imperative that Occam comply with the requirements of the Sarbanes Oxley Act of 2002.  I am committed to helping them meet these demands in a practical way while leading the board in this role.”

With the addition of these newly appointed board members, Howard-Anderson has great expectations for Occam. “By leveraging the expertise of Tom and Bob we anticipate building upon the revenue growth Occam is experiencing,” he said. “ This has been a good year for the company and we look forward to many more successes in the years to come.”
